Constitution and By-Laws

 

I.    NAME

The Name of this Organization is the Southern California Soccer Officials Association, hereafter referred to as SCSOA.

 II.    PURPOSE

The SCSOA is organized as a not for profit association to recruit, train, certify, and provide referees for California Interscholastic Federation Southern Section (CIF-SS) and/or Los Angeles City (LA) Section sanctioned High School soccer games in Southern California.

 III.    OBJECTIVES

A.    To standardize the interpretation and application of the National High School Federation soccer rules, and the mechanics of officiating.

B.    To further the interest and welfare of its members.

C.    To promote soccer at all levels, particularly the secondary school level.

IV.     AFFILIATIONS

The SCSOA is recognized by and functions under the authority of, the California Interscholastic Federation Southern Section (CIF-33) to train, certify, and assign soccer officials for all CIF sanctioned High School competition within the Southern and LA City Section areas.

V.      MEMBERSHIP

Membership in SCSOA is open to any person desiring to affiliate with an area Chapter for the purposes of officiating High School soccer, providing that he or she pays all dues and other fees and assessments as may be required, and meets such other requirements as may be established from time to time by the Board of Directors for membership by SCSOA, or for affiliation by the area Chapters.

VI.     AREA CHAPTERS

A.    SCSOA shall form Chapters for geographic areas that are consistent with CIF-S S Areas as follows:

         as designated in the current year's CIF-SS "Blue Book."

B.    The purpose and function of the area Chapter shall be to recruit, train, and certify members in accordance with the policies and procedures established by SCSOA and CIF-SS and/or CIFLAEach Chapter may have local by-laws for administrative purposes that are consistent with the Constitution and By-Laws of SCSOA, and may assess dues and fees on affiliated members for purposes that are consistent with the purpose and function of SCSOA.

C.    Elected officers of each Chapter shall consist of at least: President; Vice President; Secretary, Treasurer.  In addition, there shall be at least two (2) Delegates or Directors elected by the affiliated members or appointed by a majority vote of the elected Chapter officers.  Term of office for each position shall be established by local By-Law, except no term shall exceed two years.  Officers shall assume their office prior to July 1st.

D.    Each Chapter shall appoint an Instructional Chairperson whose duties and responsibilities shall include attendance at SCSOA instructional clinics and workshops and direction and supervision of the Chapter training program for certification of officials in accordance with SCSOA standards.  The Instructional Chairpersons shall meet such minimum requirements for experience, training and other factors as the SCSOA Board shall establish.

E.    Each Chapter shall designate a Local Assignor who is a member in good standing of that Chapter and shall be approved by the SCSOA Board, who shall meet such minimum requirements for experience, training and other factors as the SCSOA Board shall establish.  The Local Assignor shall be responsible to SCSOA through the local Chapter Officers, and to the CIF-SS and LA City Section through the respective CIF Area Liaison or LA City Section Athletic Office Director.  The Assignor's duties shall be to maintain a record of the qualifications of each member affiliated with the Chapter, and, under delegated authority from the SCSOA to assign appropriately qualified certified members to all scheduled high school games in the Chapter area.

F.    Each Chapter shall furnish to SCSOA and the CIF Area Liaison(s) and CIF Section(s) that they serve prior to December 1st each year a list of the affiliated members who have met the qualifications for SCSOA certification, and shall promptly report any changes that occur during the season.

G.    A Chapter may maintain its affiliation with SCSOA only so long as it adheres to the policies, practices and procedures as are established by the By-Laws, or as may be duly required by vote of the SCSOA Board of Directors for SCSOA membership.  Chapter affiliation, payment of annual dues and other SCSOA assessments, and individual member training, certification and game assignment.  A Chapter which, by any vote, action, or reaction of the Chapter Officers or members, fails to comply with any policies, procedures or other requirements that are established by these By-Laws or have been duly authorized by vote of the Board of Directors may be suspended from SCSOA by vote of the Board of Directors.  While a Chapter is in a suspended status, neither its officers nor members shall have any status within SCSOA and they shall not perform any SCSOA related functions, except as the Board of Directors may specifically authorize or make provision for. Reinstatement from a suspension shall be by vote of the Board of Directors upon presentation of satisfactory evidence of a Chapter's compliance.

VII.   OFFICERS

         The elected officers of SCSOA shall be:

          President (shall have prior SCSOA Board experience)
   
      Vice President  
          Secretary
          Treasurer

A.    The term of office shall be two (2) years.  No elected officer may concurrently be an officer of an officer of an Area Chapter. Officers shall assume their office on July 1st.

B.    The Board of Directors shall consist of the elected officers, the immediate Past President, and the Area Chapter Presidents or their respective designated representative. The Board of Directors is responsible for the welfare of the membership, and establishing and enforcing policies, standards, and procedures for the implementation of the goals and objectives of SCSOA including conduct of the recruitment, training certification, referee assignment, and referee assessment programs.

C.    The election of the SCSOA officers shall be conducted at a Spring meeting of the Board of Directors.  A nominating committee appointed by the President shall present a slate of candidates.  Each area Chapter President shall have a number of votes equivalent to the number of members in good standing as reported at the time as affiliated with that Chapter and dues paid to SCSOA.  Each elected officer will have one voteThe Presidency shall be assumed by the Vice President upon a vacancy in that position.  Other vacancies on the Board shall be filled by the President, with the approval of the Board.

VIII.    MEETINGS

A.    The Board of Directors shall meet at least quarterly, or as called by the President, by at least one week's written notice to all Board members.  At least two week's prior notice of the date and place of the meeting to elect officers shall be given to each Board member.

B.     A general membership meeting may be called by vote of the Board provided a notice of the meeting and its purpose is mailed or otherwise furnished at least two (2) weeks  in advance of the meeting date to each member listed with SCSOA in accordance with Section VI-F.

C.    Votes on matters of business (other than election of SCSOA Officers) considered in any meeting shall he by simple majority, a quorum being present, with each member present having one vote.  Robert's Rules of Order shall govern the procedural conduct of all meetings in so far as they do not conflict with provisions of these By-Laws.

D.    A quorum at a general membership meeting is 10% of the membership of SCSOA.  A quorum at a general Board meeting is one more than half of its members.  A quorum for the election of SCSOA officers is 50% of the Chapter Presidents (or their designated representative), plus two (2) elected Officers.

E.    minutes of all meetings shall be kept by the Secretary and will be available at the next meeting.  Minutes of the SCSOA Board meetings will be available to the individual membership on request.

IX.     APPOINTMENTS

Appointments as appropriate for the conduct of SCSOA business shall be made by the President.  Appointments shall include, but not be limited to, Committee Chairs and members of the two regular committees:

1).  Ethics and Grievances Committee
2).  Nominating Committee.

 X.     LIAISON

The President shall serve as the SCSOA Liaison to CIF-SS, and to other soccer groups (e.g. CIF, National High School Federation, and National Interscholastic Officials Association (NISOA)), or may appoint a member of the Board as the SCSOA representative to any of them.

XI.     DUES 

Prior to December 1st each year, each Chapter shall pay to SCSOA a fee, to be determined annually by vote of the Board of Directors, for each member affiliated with that Chapter as reported in accordance with Section VI-F., and shall promptly forward an additional fee for each member subsequently added. A part of this fee shall cover the cost of High School Federation rule books, which shall be provided to each member by SCSOA.  All moneys collected shall be used only to further the purpose and objectives of SCSOA as authorized by the Board of Directors.

XI.     AMENDMENTS

This Constitution and By-Laws may be amended by a two-thirds vote of the SCSOA Board members present at any general SCSOA Board meeting if the proposed amendments are presented in writing to the members present at that meeting.
